Terms and Conditions

Last updated: 1 October 2026

These terms govern your use of cognifydigital.co and set the framework for engaging Cognify Digital, a business of Neural Networks Group Pty Ltd (ABN 53 691 933 632). In these terms "we", "us" and "our" mean Neural Networks Group Pty Ltd trading as Cognify Digital, and "you" means the person or organisation using this website or engaging us.

By using this website you accept these terms. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.

1. What we do

We provide software and AI engineering services: product design and development, AI workflow automation, AI product engineering, diagnosis and improvement of existing AI implementations, rescue and re-engineering of existing software, and supplying engineers to work alongside a client's own team. We also build and operate our own software products.

2. This website

The content on this website is general information about our services. It is not technical, legal, financial or professional advice, and it is not an offer capable of acceptance. Do not act on it in relation to your own systems without advice specific to your circumstances.

We try to keep the site accurate and available, but we do not warrant that it will be uninterrupted, error-free, or that the information on it is complete or current. We may change or withdraw any part of it without notice.

You must not use this website to break the law, to attempt unauthorised access to it or to any system connected to it, to introduce malicious code, or to extract its content systematically for commercial purposes without our written permission.

3. Enquiries, quotes and solution outlines

Submitting an enquiry — including a request for a free solution outline — creates no obligation on either side. Any outline, estimate or indicative timeline we provide is our good-faith assessment on the information available at the time. It is not a fixed quote and it is not a commitment to deliver, unless and until it is confirmed in a signed agreement.

4. How engagements work

Paid work is governed by a separate written agreement — typically a proposal, statement of work or services agreement — which sets out scope, deliverables, timeframes, fees, payment terms and any service levels. Where that agreement conflicts with these terms, that agreement prevails for that engagement.

Unless the agreement says otherwise:

  • fees are quoted in Australian dollars; GST is not currently applicable;
  • invoices are payable within 14 days;
  • we may suspend work on overdue accounts after giving you notice;
  • a change to agreed scope is handled as a variation, priced and agreed before it is built.

Build-fee refund

This applies to custom software build engagements. If the solution doesn’t meet agreed outcomes — the outcomes agreed in writing in the proposal, statement of work or services agreement for that engagement — we refund your build fee. This is in addition to your rights under the Australian Consumer Law (see clause 10).

Your responsibilities

Delivery depends on you providing timely access, decisions, information, test data, environments and credentials, and on the accuracy of what you tell us about your existing systems. Where a delay is caused by these, timeframes adjust accordingly.

5. Staff augmentation

Where we supply engineers to work within your team, those people remain our personnel or our subcontractors. We are responsible for their engagement, pay and statutory entitlements. You direct their day-to-day work within the agreed scope. No employment relationship is created between you and them, and neither party may solicit the other's personnel during the engagement or for six months afterwards without written consent.

6. Intellectual property

  • Your material. You keep ownership of everything you give us — your data, content, branding and existing systems.
  • Deliverables. On full payment, ownership of the custom deliverables built specifically for you under an engagement passes to you, unless that engagement says otherwise.
  • Our pre-existing material. We keep ownership of our own tools, libraries, frameworks, templates and methods that existed before the engagement or that we develop independently of it. Where a deliverable includes that material, you receive a perpetual, non-exclusive licence to use it as part of the deliverable.
  • Know-how. Nothing prevents us from using the general skills, experience and knowledge our people gain.
  • Third-party components. Open-source and third-party components remain subject to their own licences, which we will identify where they are material.

7. Confidentiality

Each of us will keep the other's confidential information confidential, use it only for the engagement, and disclose it only to people who need it and are under similar obligations. This does not apply to information that is public through no fault of the recipient, was already known, is independently developed, or must be disclosed by law. These obligations continue after the engagement ends.

8. Artificial intelligence

Where an engagement involves AI components — language models, retrieval systems, classification, automation or similar — you should understand the following, and we will design accordingly:

  • AI outputs are probabilistic. They can be wrong, inconsistent between runs, or confidently incorrect, and no configuration removes this entirely.
  • We design for human oversight where the decision matters, and we will tell you where we believe review or approval should sit with a person rather than a system.
  • Third-party model providers set their own availability, pricing, data-handling and model-deprecation terms, and change them. We will identify which providers a solution depends on.
  • Accuracy, latency and cost depend heavily on your data. We cannot guarantee a specific accuracy rate, response time or running cost unless it is expressly agreed and measurable.
  • You are responsible for deciding whether a use of AI is appropriate in your regulatory and professional context, and for any disclosures your own obligations require.

9. Third-party services

Solutions we build commonly depend on third-party services — cloud platforms, model providers, payment processors, CRMs and similar. Those services are provided under their own terms, and we are not responsible for their availability, changes to their pricing or interfaces, or their failures. We will design sensibly around that risk and tell you what a solution depends on.

10. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. Where our services come with a non-excludable guarantee and we fail to meet it, and the failure is not a major failure, our liability is limited — at our option — to supplying the services again or paying the cost of having them supplied again.

11. Limitation of liability

Subject to clause 10, and to the extent permitted by law:

  • neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of goodwill, or loss or corruption of data, however caused;
  • our total aggregate liability arising out of an engagement is limited to the fees you paid us under that engagement in the twelve months before the event giving rise to the claim;
  • we are not liable for loss to the extent it is caused by your instructions, your failure to provide accurate information, changes you or a third party make to a system after we hand it over, or your use of a deliverable outside its agreed purpose.

Each party must take reasonable steps to mitigate its loss.

12. Existing systems we did not build

Software rescue, re-engineering and AI optimisation work involves systems we did not create and may have incomplete information about. We will assess before we act, and we will tell you what we find. However, pre-existing defects, undocumented behaviour, missing source code, expired dependencies and undisclosed customisations may surface during the work, and remediating them may be outside the agreed scope. We do not accept liability for defects that existed before our engagement began, other than for work we expressly agreed to fix.

13. Termination

Either party may terminate an engagement on written notice if the other materially breaches these terms or the engagement agreement and does not remedy the breach within 14 days of being asked to. On termination you pay for work performed and costs reasonably committed up to that date, and we will hand over the work completed.

14. Privacy

We handle personal information as described in our Privacy Policy, and cookies as described in our Cookie Policy.

15. General

  • Governing law. These terms are governed by the laws of New South Wales, Australia, and each party submits to the non-exclusive jurisdiction of its courts.
  • Publicity. We will not name you as a client or describe your project publicly without your written consent.
  • Force majeure. Neither party is liable for a failure caused by something genuinely outside its reasonable control, provided it tells the other promptly and works to limit the impact.
  • Severance. If part of these terms is unenforceable, it is severed and the rest continues.
  • Changes. We may update these terms for future use of the website and new engagements. Changes do not alter an agreement already signed. The date at the top shows when this version was published.

16. Questions

If anything here is unclear, or you need a variation for your organisation's procurement requirements, email info@cognifydigital.co or call 0468 167 862 before you engage us. We would rather discuss it up front.
